Peter Kirk Elementary PTSA Unit 2.8.45

Standing Rules – October 2007

1. The name of this PTSA local unit is Peter Kirk Elementary PTSA.  The local unit number is 2.8.45.  It was chartered by the Washington State PTA on March 7, 1975.

2. This PTSA serves children in the Peter Kirk Elementary school community.

3. This PTSA is registered with the Secretary of State under the Charitable Solicitations Act.  The registration number is PEK-188-320.  The Treasurer is responsible for filing the annual registration prior to March 7.

4. This PTSA was incorporated on January 15, 1980.  It was assigned corporation number 2-296094-2.  The Treasurer is responsible for filing the annual corporation report prior to March 7.  The registered agent for this corporation is the Washington State PTA. 

5. This PTSA’s Federal Employer Identification Number (EIN) can be found in legal documents kept by the Treasurer and Secretary.

6. This PTSA was granted tax-exempt status under section 501 c (4) on January 25, 1988 and amended to 501 c (3) on March 26, 1996. In an effort to protect this tax-exempt organization’s interest, the Peter Kirk PTSA has adopted a Conflict of Interest Policy Agreement which is to be signed yearly by each board member and filed with the Secretary.

7. The current Treasurer is responsible for filing IRS Form 990 or appropriate if required.

8. The membership service fees for Peter Kirk Elementary PTSA shall be $15 for individuals and $20 for families (2 memberships).

9. The elected officers of this PTSA shall be President, Vice-President, Secretary, and Treasurer.  Any elected position may be held jointly by two (2) people.

10. Each elected officer shall be entitled to voice and vote at the Board of Directors’ meeting.

11. The Board of Directors of Peter Kirk PTSA shall consist of the elected officers and chairs of the following committees: Legislation, Art Enrichment, Science and Math Enrichment, Language Arts Enrichment, School and Community Services, Miscellaneous School Services, Communications and Nominating Committee.  All members of the Board of Directors must be members of the PTSA.  The Board of Directors may reallocate up to $500 from line items in the approved PTSA budget.

12. There shall be at least five (5) General Membership meetings in the year from September through June. The Peter Kirk Elementary PTSA’s Annual Meeting will be held in May.  Officers for the following year will be elected at the April meeting or before as determined by the Board of Directors and the Nominating Committee. Newly elected officers will assume duties on July 1st.

13. The Nominating Committee shall be elected according to the “Uniform Bylaws of the Washington State PTA”.

14. This PTSA’s Board of Directors will meet when necessary at the call of any Board member.

15. This PTSA shall approve its annual operation budget for the next fiscal year by the May General Membership meeting.

16. The PTSA shall keep a copy of each of its legal documents with the Secretary and the PTSA office.  The Secretary shall be responsible for maintaining original copies.

17. The PTSA shall conduct a mid-year audit of its books and records in addition to the required audit at the close of the fiscal year.  The fiscal year ends June 30.

18. The signatures of four elected officers shall be on the authorized signature card for the PTSA bank account.  Only one co-treasurer signature will be allowed on any check issued from this account.

19. The students of Peter Kirk Elementary School shall be considered honorary members of the PTSA without voice, vote, or the privilege of holding office.

20. One or more Golden Acorn Awards shall be presented annually to an outstanding volunteer or volunteers. The committee to select the recipient(s) shall be comprised of a cross section of PTSA, including members, past recipients, faculty, or students, where appropriate, with an odd number of three (3) to five (5) people.  The committee shall be selected and approved by the Board of Directors and the membership notified.

21. Voting delegates to the Lake Washington School District PTSA Council shall be the President and Vice President.  The alternates shall be the Secretary and Treasurer.

22. The vote of the PTSA for the position of Washington State PTSA Region Director shall be determined by the voting delegates to the Lake Washington School District PTSA Council.

23. The voting delegates to the annual State PTA convention shall be determined by the Board of Directors before April 1.

24. The voting delegates to the State PTA Legislative Assembly shall be determined in the following order:  Legislation Chair, President, Secretary, and Treasurer.  The Board of Directors shall determine who shall serve as visiting delegates.

25. These Standing Rules shall be adopted annually by a majority vote at the first General    Membership meeting of the year.

26. These Standing Rules may be amended at any time.  If the membership has been given prior notice to the date of the meeting of the intended change, then the change can be approved by a majority vote of the members present (if a quorum has been established.)  If no notice was given prior to the meeting, 2/3 vote of the members present is required (if a quorum has been established.)

27. A quorum is established at a General Membership Meeting when at least 10 people are present.

In a response to membership feedback, we have established a new meeting format to allow more families to attend.  At 6:30pm you can drop your kids in the gym to play or watch a movie with supervision while the parents go to the meeting in the Library.  We have compressed the “PTSA business” portion of the meeting so that it can be completed in one hour to allow for a speaker in each meeting then  finish promptly at 8:00pm getting you home early enough to finish your evening with your family.  We invite you try to attend and how all of our children would benefit from your voice at the meetings.
